Terms of Sale

1. Scope and acceptance
These terms govern the sale of the Mnemosyne OS, Infinity Edition license ("the License"), a software license whose title of ownership, the Engramm, is recorded on a public registry (the Base ledger). The sale takes place inside the Mnemosyne OS application, from the customer's own wallet; the mnemosyne-os.io site presents the offer but no longer processes any purchase. Placing an order constitutes full acceptance of these terms, confirmed in the app at purchase by a dedicated confirmation step. They also govern the sale of the cloud Credits ("the Credits"), a product distinct from the License.
2. Seller
XPACEGEMS LLC, a limited liability company organized under the laws of the State of Florida, with its principal address at 2932 NW 72 Ave, Miami, FL 33122, USA, registered with the State of Florida under document number L25000512310. Contact: dev@mnemosyne-os.com.
3. Product
Mnemosyne OS is local-first software: it installs and runs on the customer's machine, and the customer keeps their data at home. Downloading the personal edition and using it for personal purposes are free. The License unlocks the reserved features and cartridges of the Infinity edition, for life, with no subscription. The seller hosts none of the customer's data and has no access to their memory.
4. Price
The License is sold for 70 US dollars, one-time, all taxes included where applicable, the displayed price is the final price paid by the customer, with no surcharge added. This is not a subscription and entails no recurring payment.
5. Payment
The purchase is started from the application, which opens a secure payment page in the customer's browser. Payment is by card, processed by Stripe, Inc.; the seller never has access to the customer's card details. The seller does not collect payment on its website.
6. Delivery
The License is delivered by minting the Engramm to the customer's wallet, the wallet created locally by the application, whose address the app supplies at purchase, so the customer has no address to type. Delivery takes place after payment verification, within 24 hours under normal conditions; the customer sees the License appear in the app. The customer is solely responsible for keeping the keys and backup of that wallet. Delivery to the address supplied by the application constitutes conforming delivery.
7. Right of withdrawal
The License is digital content supplied without a physical medium, whose performance begins upon delivery. In line with EU consumer law on immediately-supplied digital content (art. L221-28, 13° of the French Consumer Code for French consumers), the customer expressly requests immediate performance and acknowledges waiving their right of withdrawal once the License is delivered, consent gathered in the app, before payment, through a mandatory confirmation. An Engramm issued on-chain cannot be revoked. As long as the License has not been delivered, the customer may cancel by simple email; sums received are then refunded.
8. Cloud Credits
Cloud Credits ("the Credits") are a prepaid balance, denominated in US dollars, that lets the customer use remote AI models through the seller's server without supplying an API key of their own. They are a separate product: they are not required to use Mnemosyne OS, they are not included in the License, and the License is not required to buy them.
Price and delivery. Credits are sold in packs of 10, 25 or 50 US dollars. The amount paid is credited at parity to the customer's balance, 10 dollars paid gives 10 dollars of balance, and is credited as soon as the payment processor confirms the payment, with no human step in between.
Consumption. The balance is spent in use, request by request, according to the number of tokens processed by the model called. The rate applied is set by the seller and includes the seller's margin: it is higher than the underlying inference provider's own rate. The customer can see their balance and usage history in the application at any time.
Term and transferability. Credits do not expire. They are attached to the customer's wallet and may not be assigned, resold, or converted back into money.
Right of withdrawal. Credits are digital content supplied without a physical medium. The customer waives the right of withdrawal for the portion of the balance actually consumed. Any unconsumed portion remains refundable on request by email within fourteen days of purchase.
Availability. The inference service relies on a third-party provider. The seller may change the list of models offered. If the seller discontinues the service, the unconsumed balance is refunded. In case of abuse, bypassing the meter, reselling access, unlawful activity, the seller may suspend access; the unconsumed balance remains refundable.
9. Nature and scope of the License
The License is personal, perpetual and non-exclusive. It entitles its holder to activate the Infinity edition on their own machines. It is attached to its title (the Engramm): transferring the title transfers the License, the new holder becomes the licensee, the previous one loses activation. The total number of licenses is capped at 50,000, a limit written into the public registry, verifiable by anyone.
10. What the License is not
The Engramm is a software license title. It is neither a financial instrument, nor an investment, nor a promise of future value. The seller makes no promotion of any exchange value of the token.
11. Warranties
The software is provided "as is". The seller strives to maintain and improve it, without any obligation as to future features. Mandatory statutory warranties applicable to consumers, notably the EU legal guarantee of conformity for digital content and services, remain fully applicable. Support is provided by email.
12. Liability
The software being local-first, the customer is solely responsible for their backups , of their data as well as their wallet keys. Losing the keys of the wallet holding the Engramm entails losing access to the License, with no recourse against the seller. To the extent permitted by applicable law, the seller's total liability is capped at the amount actually paid for the License. Nothing herein excludes liability that cannot lawfully be excluded.
13. Public registry, publicity and immutability
The customer acknowledges that the delivery address and the recording of the Engramm appear on a public registry, viewable by anyone and immutable. These records can be neither modified nor erased, by anyone, including the seller.
14. Governing law and disputes
These terms are governed by the laws of the State of Florida (USA), subject to the mandatory consumer protections of the customer's country of residence, which prevail. For EU consumers: the European online dispute resolution platform is available (ec.europa.eu/consumers/odr); for French consumers, a consumer mediator [to be designated].
