Terms of Sale

1. Scope and acceptance
These terms govern the sale, on mnemosyne-os.io, of the Mnemosyne OS — Infinity Edition license ("the License"), a software license whose title of ownership — the Engramm — is recorded on a public registry (the Base ledger). Placing an order constitutes full acceptance of these terms, confirmed at purchase by a dedicated checkbox.
2. Seller
XPACEGEMS LLC, a limited liability company organized under the laws of the State of Florida, with its principal address at 2932 NW 72 Ave, Miami, FL 33122, USA, registered with the State of Florida under document number L25000512310. Contact: dev@mnemosyne-os.com.
3. Product
Mnemosyne OS is local-first software: it installs and runs on the customer's machine, and the customer keeps their data at home. Downloading and using the base edition is free. The License unlocks the reserved features and cartridges of the Infinity edition, for life, with no subscription. The seller hosts none of the customer's data and has no access to their memory.
4. Price
The License is sold for 70 US dollars, one-time, all taxes included where applicable — the displayed price is the final price paid by the customer, with no surcharge added. This is not a subscription and entails no recurring payment. A voluntary tip may be added to the payment; it is freely given, without consideration, and non-refundable.
5. Payment
Two payment methods are offered:
a) USDC on the Base network. The customer sends 70 USDC to the reception address shown on the order page, then provides the transaction hash and the delivery wallet address through the dedicated form. The site expressly warns: only USDC, only on the Base network, is accepted. A transfer made on another network, in another token or to another address is irreversible by nature and remains the customer's sole responsibility.
b) Card, via Stripe. The payment is processed by Stripe; the seller never has access to the customer's card details. After payment, delivery and activation instructions are sent to the customer by email.
6. Delivery
The License is delivered by minting the Engramm to the wallet address provided by the customer, after payment verification, within 24 hours under normal conditions. The customer is notified by email. The customer is solely responsible for the accuracy of the delivery address; the site expressly warns that an exchange deposit address (Coinbase, Binance…) makes the License inaccessible. Delivery to the address provided by the customer constitutes conforming delivery.
7. Right of withdrawal
The License is digital content supplied without a physical medium, whose performance begins upon delivery. In line with EU consumer law on immediately-supplied digital content (art. L221-28, 13° of the French Consumer Code for French consumers), the customer expressly requests immediate performance and acknowledges waiving their right of withdrawal once the License is delivered — consent gathered through a mandatory checkbox before ordering. An Engramm issued on-chain cannot be revoked. As long as the License has not been delivered, the customer may cancel by simple email; sums received are then refunded, less any network fees.
8. Nature and scope of the License
The License is personal, perpetual and non-exclusive. It entitles its holder to activate the Infinity edition on their own machines. It is attached to its title (the Engramm): transferring the title transfers the License — the new holder becomes the licensee, the previous one loses activation. The total number of licenses is capped at 50,000, a limit written into the public registry, verifiable by anyone.
9. What the License is not
The Engramm is a software license title. It is neither a financial instrument, nor an investment, nor a promise of future value. The seller makes no promotion of any exchange value of the token.
10. Warranties
The software is provided "as is". The seller strives to maintain and improve it, without any obligation as to future features. Mandatory statutory warranties applicable to consumers — notably the EU legal guarantee of conformity for digital content and services — remain fully applicable. Support is provided by email.
11. Liability
The software being local-first, the customer is solely responsible for their backups — of their data as well as their wallet keys. Losing the keys of the wallet holding the Engramm entails losing access to the License, with no recourse against the seller. To the extent permitted by applicable law, the seller's total liability is capped at the amount actually paid for the License. Nothing herein excludes liability that cannot lawfully be excluded.
12. Public registry — publicity and immutability
The customer acknowledges that the delivery address, the USDC payment transaction where applicable and the recording of the Engramm appear on a public registry, viewable by anyone and immutable. These records can be neither modified nor erased, by anyone, including the seller.
13. Governing law and disputes
These terms are governed by the laws of the State of Florida (USA), subject to the mandatory consumer protections of the customer's country of residence, which prevail. For EU consumers: the European online dispute resolution platform is available (ec.europa.eu/consumers/odr); for French consumers, a consumer mediator [to be designated].
